General conditions for joining the partnership programme
The present agreement (hereafter the "Agreement") is established between Anastore, 18, Av Louis Casaï CH 1209 GENEVA Switzerland (hereafter, "anastore.com"), and You, providing that your application is accepted by anastore.com.
This Agreement contains the overall terms and conditions applicable to individuals or legal entities participating in the partnership programme implemented and proposed by anastore.com (hereafter the "Programme").
The aim of the Programme is to establish the conditions and the methods for:
- 1 the implementation, between the anastore.com website (located at present at the following URL address: http://www.anastore.com) and your own website, of one or several hypertext links that would allow those visiting your site to be redirected to the anastore.com site and proceed to purchase one or several products;
- 2 the compensation offered to you in exchange for the implementation of the aforementioned hypertext on your website.

1. Pre-requisites to be met in order to join our partnership programme
To participate in the Programme you must hold ownership of a website, have read and accepted the present general conditions and completed the registration form available online.
Only the sites for online sales and general information in terms of health, physical shape, diet and sport are considered commercial partners. Sites for generating contacts and redirection are not considered partner sites.
The use of scripts created to generate automatic clicks will reset statistics and consequently cancel the payment of the monthly fee.

2. Acceptance by anastore.com of the partnership
As the participation to the Programme relies on trust and loyalty, anastore.com reserves the right to refuse any joining proposal considered as being detrimental to the interests of the Programme without having to state the reason for such a refusal.
In any case, and notwithstanding any clauses in the present Agreement, anastore.com reserves the right to terminate at anytime such Agreement if it finds evidence that the content of your website could be derogatory, disloyal, and in general, contrary to the essence of the present Agreement itself.

3. The links on your site
You can establish any kind of links between your site and anastore.com: Link(s) to a single product, to a product category, to our homepage or even to set up a search engine.
The creation of the links between your site and anastore.com implies forcefully the integration of an identification code called Calling Code, which will be disclosed to you when registering. This calling code allows identifying the site the cybershoppers have been referred from and the sales generated by the partner's website.
It is convened you can display on your site comments regarding any products from the anastore.com site, being understood that such comments will not in any way undermine the aforementioned products or present them in a misleading, disloyal or detrimental way.
It is convened between the parties that the observance of this obligation constitutes a condition without which anastore.com would have not accepted the conclusion of the present Agreement. In all cases, you are and remain fully responsible of the statements displayed on your site.

4. The obligations of anastore.com
anastore.com processes all the orders referred to its site, and especially, those referred via the hypertext link implemented on your site.
Therefore, anastore.com is the one and only responsible for the relationship with those visiting the anastore.com site in the same way as it is exclusively responsible for the processing of all orders referred to its site, and especially for their proper execution. Being anastore.com the one and only that holds ownership of the anastore.com clientele; it receives and processes the orders, invoices and holds onto the payments, and then delivers the goods without the partner having to take any actions.
In order to access the information regarding all the sales generated by your calling code over a given period of time as well as the commissions linked to them, you must enter your login details; password and ID user onto the page named "Your statistics" at anastore.com.
We remind you that all the information contained in those documents is to be used exclusively by the parties involved. Under no circumstances, except when legal obligations or redemptions apply, this information will be passed to a third party. This obligation will prevail for a year following termination of the present Agreement.
In case of any disagreement on your behalf regarding the amounts mentioned in those documents, anastore.com will have them checked by its auditor and these certified documents will act as proof between the parties.

5. Commissions
anastore.com will pay you commission on the sales made on the anastore.com website by cybershoppers referred directly from your site. Therefore, this exclude all sales made on the sites of anastore.com partners accessible via anastore.com.
The orders considered for the calculation of your commission are easily to identify by a Calling code (cf. art3) bearing your name present in the referral towards anastore.com. Under no circumstances anastore.com will be made responsible for technical errors made when implementing the aforementioned links on your site.
Payment for the commissions will be made according to fulfilled transactions, i.e. any sale where the payment has been fully received by anastore.com.
Two types of retribution are automatically implemented and both get added up together:
Commissions: 25 % direct retribution on sales generated by the banner used by the partner.
Monthly forfeit: depending on the clicks being generated, Anastore compensates its banners according to a forfeit system that depends on statistics for the number of times the partner site is visited:
From 100 to 500 clicks per month: 10 euros
From 501 to 2000 clicks per month: 35 euros
From 2001 to 5000 clicks per month: 80 euros
From 5001 to 1000 clicks per month: 120 euros
For over 10,000 clicks per month we implement customised forfeits and we invite you to contact us for any other additional information.
It is expressly agreed that other than the commissions stated above, no sum will be paid to you by anastore.com as part of this Agreement.
Payment is being made on the 5th of the month when total remuneration on one or more months is a minimum of 150.00 €.
The rate of commissions and the different forfeits can be reviewed at anytime by anastore.com.

6. Ownership of the elements on the partners' sites
The access to the Programme does not confer you any rights over the software, data, and in a broader way any element that is exclusive property of anastore.com with the exception of a right as user, mainly applicable to logos, banners or other objects belonging to hypertext link(s) installed on your site.
To this, anastore.com allows you to reproduce on your site and within the exclusive framework of the Programme and present Agreement, graphic elements and other content considered in article 3. Under no circumstances, you will be allowed to carry out modifications to these elements.
Reciprocally, the present Agreement does not give anastore.com any rights over the programmes and data belonging to your site, with the exception of its own logos and other elements used on your site within the framework of the Programme.
None of the parties will acquire any rights of ownership over the names, designations, inscriptions, badges, logos, trade names, other signs or elements of any kind that could be subjected to intellectual property rights law or to intellectual property belonging to the other party, or to one of the subsidiary companies or similar.

7. Guarantees and responsibility Disclaimer
By concluding the present Agreement, you guarantee having unrestricted rights to create links with a commercial site and thus, to have commercial relationship in the same way as you guarantee having all the rights and authorisations needed to distribute over the Internet the overall contents (without this list being exhaustive: texts, icons, sound, images whether animated or not) displayed on your site. You stand as guarantor for anastore.com against any claims addressed to it in this respect by any third party.
You declare and offer anastore.com your guarantee that you have proceed or will proceed, to your expenses, to all administrative procedures that could be necessary following the conclusion of this Agreement (including those involving the tax office). At any moment during the present Agreement, anastore.com will be responsible for any mistake, sincerity and appropriateness of the information supplied by you.
As part of this Agreement, anastore.com will not be able to act as guarantor for you in any matter concerning the Programme, and in the same way, anastore.com will not be held responsible for any consequence resulting from interruptions or errors within the scope of the implementation of this Agreement.
anastore.com will not be responsible for direct, indirect or special damages or any loss of earnings, profits or data derived or not from the implementation of the present Agreement and of the Programme. IN ANY CASE, THE RESPONSIBILITY OF ANASTORE.COM REGARDING THE AGREEMENT AND THE PROGRAMME, AS WELL AS THAT OF ANY THIRD PARTY INVOLVED IN ONE WAY OR OTHER IN THE PROGRAMME, WILL NOT EXCEED THE TOTAL AMOUNT OF THE SUMS PAID TO YOU AS PART AND WITHIN THE SCOPE OF THE PRESENT AGREEMENT.

8. Miscellaneous conditions
The present Agreement is concluded with you in a non-exclusive manner, for a non-determined period of time, starting from the moment you registration to the Programme is confirmed by e-mail, being specified that any of the parties will be able at any time to end this Agreement, by rights and without any compensation, as long as they give the other party a seven days advance notice via e-mail.
As from the dissolution date of the present Agreement, you are committed to sever all possible links existing between your site and that of anastore.com, and to destroy or return to anastore.com all the icons, technical or other elements previously submitted to you.
No commission will be due to you by anastore.com as from the date that follows the advance notice stated above.
The present general conditions may be unilaterally modified subject to the condition that information and a seven days advance notice are given beforehand by anastore.com, after which the new conditions will come in force with full rights and will replace the conditions existing to that date.
The invalidation or the non-opposability of any condition of the present Agreement should not affect the other conditions, which will remain applicable to the relationship between parties.

9. Clause regarding access, modification and protection of personal data
You have a right to access and to modify your personal data held in our services (at the following e-mail address marketing@anastore.com). You give us your authorisation, unless otherwise stated by you, to process your personal data in an electronic file. The information received is reserved for the sole use of anastore.com and its subsidiary companies.
